1. Acceptance of Terms

Welcome to GridexLabs. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Gridexlabs LLC ("Company," "we," "us," or "our") governing your access to and use of the GridexLabs mobile application, website, and all related services (collectively, the "Service").

By creating an account, downloading, installing, accessing, or using GridexLabs, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 13 years of age to use GridexLabs. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

2. Description of Service

GridexLabs is a GPS-based massively multiplayer online (MMO) game and social platform built on OpenStreetMap. The game transforms real-world geography into an interactive playing field where players navigate, compete, trade, and interact with one another in a persistent virtual economy overlaid onto real-world maps.

Core Features

• Real-time GPS-based gameplay using OpenStreetMap data
• Massively multiplayer online world with persistent game state
• In-game economy featuring virtual currencies, banking, loans, and player-to-player trading
• Social features including messaging, chat, and player interactions
• Vehicle and item collection, upgrades, and customization
• Territory control, exploration rewards, and competitive gameplay modes

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, including but not limited to game mechanics, virtual economies, features, and content.

3. Account Registration and Security

To access GridexLabs, you must create an account by providing the following information:

• A unique username
• A valid email address
• A password (securely hashed using bcrypt encryption on our servers)

Account Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Gridexlabs LLC will not be liable for any loss or damage arising from your failure to protect your account information.

Game State Persistence

GridexLabs automatically saves your game progress approximately every 30 seconds. While we make reasonable efforts to preserve your game data, we do not guarantee that game progress will never be lost due to technical issues, server failures, or other unforeseen circumstances.

Account Restrictions

• Each user may maintain only one active account. Creating multiple accounts to gain unfair advantages is strictly prohibited.
• You may not sell, transfer, share, or otherwise provide access to your account to any other person.
• Account credentials must not be shared with third parties.
• You must provide accurate and truthful information during registration and keep it up to date.

4. User Conduct and Rules

By using GridexLabs, you agree to abide by the following rules of conduct. Violations may result in warnings, temporary suspensions, permanent bans, or other enforcement actions at our sole discretion.

Prohibited Gameplay Activities

• GPS spoofing, location falsification, or the use of any software, hardware, or technique to manipulate or fake your geographic position
• Using bots, scripts, macros, automation tools, or any third-party software to play the game or gain an unfair advantage
• Exploiting bugs, glitches, or vulnerabilities in the game. If you discover a bug, you are expected to report it to us rather than exploit it.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the application
• Using modified or unofficial versions of the GridexLabs client
• Deliberately interfering with the Service, servers, or networks connected to the Service

Social Conduct

• Harassment, bullying, stalking, intimidation, or threatening behavior toward other players is strictly prohibited
• Hate speech, slurs, discriminatory language, or content targeting individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic will not be tolerated
• Abusive, obscene, defamatory, or otherwise objectionable behavior in any social feature, including in-game messaging, chat rooms, and player-to-player communications, is prohibited
• Impersonating other players, moderators, or Gridexlabs LLC staff is not permitted
• Spamming, flooding, or sending unsolicited commercial messages through any in-game communication channel is prohibited
• You must treat all other players with respect in messaging, chat, and all other social interactions within the game

Real-Money Trading Prohibition

5. Virtual Currency and Economy

Virtual Currencies

GridexLabs features multiple forms of virtual currency, including but not limited to Cash (TL), Gold, and Diamonds. These currencies are virtual items within the game and carry the following conditions:

• All virtual currencies have no real-world monetary value and cannot be exchanged for real money, goods, or services outside the game
• Virtual currencies are non-transferable outside of in-game mechanisms and cannot be redeemed for cash
• We reserve the right to adjust, modify, regulate, or eliminate virtual currency values, availability, and earning rates at any time

In-Game Banking and Financial Systems

GridexLabs includes an in-game banking system that may feature deposits, withdrawals, loans, interest rates, transfers between players, and a virtual tax system. These systems are entirely virtual and operate under the following conditions:

• In-game banking transactions, including loans and transfers, are governed by game mechanics and are not real financial transactions
• The in-game tax system is a gameplay mechanic and does not represent or create any real-world tax obligations
• We reserve the right to modify banking mechanics, interest rates, loan terms, tax rates, and transfer limits at any time to maintain game balance
• Gridexlabs LLC is not a financial institution, and the in-game economy does not constitute real banking services

Player-to-Player Trading

Players may trade in-game items with one another through the game's built-in trading systems. All trades are conducted at the players' own discretion and risk. Gridexlabs LLC is not responsible for mediating trade disputes between players, though we may intervene in cases of fraud, exploitation, or Terms violations. We reserve the right to reverse transactions that result from exploits, cheating, or other prohibited activities.

6. In-App Purchases

GridexLabs may offer in-app purchases that allow you to acquire virtual currencies, items, or other game content. All in-app purchases are subject to the following terms:

• All in-app purchases are processed through Google Play (or the applicable platform distribution service) and are subject to the terms and policies of that platform
• All sales are final in accordance with the applicable platform's policies. Gridexlabs LLC does not directly process payments or handle billing information
• Refund requests must be submitted through the platform (Google Play) from which the purchase was made, in accordance with that platform's refund policy
• Purchased virtual items and currencies are licensed to you, not sold, and remain the property of Gridexlabs LLC
• Prices for in-app purchases may change at any time without prior notice

7. Intellectual Property

All content, features, and functionality of GridexLabs, including but not limited to the following, are the exclusive property of Gridexlabs LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws:

• Game source code, software, and all underlying technology
• Visual design, artwork, graphics, animations, and user interface elements
• Audio content, including sound effects and music
• Game mechanics, rules, systems, and design
• Text, logos, trademarks, trade names, and branding
• Server infrastructure, databases, and backend systems

You are granted a limited, non-exclusive, non-transferable, revocable license to use GridexLabs for personal, non-commercial entertainment purposes in accordance with these Terms. This license does not grant you any rights to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Service.

The GridexLabs name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Gridexlabs LLC. You must not use such marks without our prior written permission.

8. GPS and Location Usage

GridexLabs is a GPS-based game that requires access to your device's location services to function. By using the Service, you acknowledge and agree to the following:

• The game requires continuous access to your GPS location data during active gameplay sessions
• Location data is used to place you on the in-game map, enable proximity-based features, verify gameplay actions, and provide the core game experience
• You may disable location services at any time through your device settings, but the game will not function properly without location access

9. User-Generated Content

GridexLabs allows users to create and share content through in-game messaging, chat features, and other social interactions ("User Content"). By submitting User Content through the Service, you agree to the following:

• You retain ownership of your User Content, but you grant Gridexlabs LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content solely in connection with operating, developing, and improving the Service
• You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third party's intellectual property rights, privacy rights, or any applicable law
• You acknowledge that User Content may be visible to other players and that you are solely responsible for the content you share

Gridexlabs LLC reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, including content that we determine violates these Terms, is objectionable, or may expose the Company to legal liability.

We do not endorse, support, or guarantee the accuracy, reliability, or quality of any User Content. You interact with other users and their content at your own risk.

10. Account Termination

Termination by You

You may stop using the Service and request deletion of your account at any time by contacting us at info@gridexlabs.com. Upon account deletion, your game data, virtual currencies, items, and progress may be permanently removed and cannot be recovered.

Termination by Gridexlabs LLC

We reserve the right to suspend, restrict, or permanently terminate your account and access to the Service at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service, including cheating, GPS spoofing, botting, or exploiting
• Engaging in harassment, hate speech, abusive behavior, or other prohibited social conduct
• Real-money trading of in-game items or currencies outside the game
• Creating or using multiple accounts
• Fraudulent activity, including chargebacks on in-app purchases
• Any conduct that we determine is harmful to other users, the Service, or the interests of Gridexlabs LLC
• Extended periods of account inactivity

Appeal Process

If your account has been suspended or terminated and you believe the action was taken in error, you may submit an appeal by contacting us at info@gridexlabs.com. Please include your username, the email address associated with your account, and a detailed explanation of why you believe the enforcement action was unjustified. We will review appeals on a case-by-case basis, but we are under no obligation to reinstate any account.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GRIDEXLABS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no representations or warranties regarding the accuracy, reliability, or completeness of any content provided through the Service, including map data sourced from OpenStreetMap.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRIDEXLABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any User Content or content obtained from the Service
• Unauthorized access, use, or alteration of your account, transmissions, or data
• Loss of virtual currencies, items, or game progress for any reason
• Physical injury, property damage, or any other harm arising from your use of the Service in the real world

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF GRIDEXLABS LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO GRIDEXLABS LLC (VIA PLATFORM PURCHASES) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00 USD), WHICHEVER IS GREATER.

12. Modifications to Terms

Gridexlabs LLC reserves the right to modify, amend, or update these Terms of Service at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you through one or more of the following methods:

• An in-app notification within GridexLabs
• An email to the address associated with your account
• A prominent notice on our website

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue your use of the Service and may request deletion of your account.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction within the United States.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

The failure of Gridexlabs LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gridexlabs LLC regarding the Service and supersede all prior agreements and understandings.
